Terms and Conditions of Sale

1. Seller and scope
EV-Adworks operates MaditSpirit under the commercial brand MaditSpirit. The seller information currently published on the website remains applicable. Contact: support@maditspirit.com.
These Terms govern purchases of MaditSpirit subscriptions, Plans, Skills, add-ons, digital content, coaching-related services and other paid services. Before payment, the customer is shown the applicable service, price, billing frequency, duration, payment schedule, access conditions and relevant cancellation or withdrawal information.
2. Standard Plans and subscriptions
Standard Plans may be offered with monthly, quarterly, yearly or other billing periods. A Standard Plan renews according to the renewal terms displayed at checkout until the customer cancels it through the applicable Manage Billing function, unless the order states otherwise.
The customer’s exact Plan, price, billing period, renewal terms and access rights are those displayed before payment and recorded in the order confirmation.
3. Progressive Pricing Plans
A Progressive Pricing Plan allows the customer to select an available contractual duration, expressed in days unless checkout states otherwise. The monthly or 30-day reference amount may decrease for longer durations.
The selected duration, monthly amount, committed total and payment schedule are shown before order. For a committed Progressive duration, the customer undertakes to pay the contractual committed total according to the displayed schedule. Billing remains monthly or every 30 days unless the schedule states otherwise. The final payment may be prorated so payments do not exceed the exact contractual total.
The current configured commitment-end rule is to stop future billing at the contractual end.
3.1 Flexible recurring duration
Some Progressive Plans include a flexible recurring duration. It is not a fixed long-term commitment. It renews for each billing period until the customer cancels through normal Manage Billing.
For a flexible duration there is no fixed remaining committed balance, no committed-plan early-termination fee and no fixed-duration commitment-end rule.
4. Products and service classification
MaditSpirit may provide continuing digital services, AI-assisted wellness services, educational digital content and coaching-related services. Withdrawal and refund rules depend on what was purchased and whether performance or digital supply began before the withdrawal period ended.
5. Order and contract formation
The customer selects the Offer, Plan, duration and optional add-ons. Checkout displays the main characteristics, price, applicable taxes, billing frequency, duration, payment schedule and cancellation terms.
The customer must check the order and correct errors before payment. The contract is formed when the customer confirms the order and payment is authorised, unless checkout states another formation point. A confirmation is sent by email or made available in the customer account.
For Progressive Plans, the order record may include the selected Plan, duration, monthly amount, committed total, schedule, commitment mode, cancellation policy, legal-consent record and discount information.
6. Prices, taxes and payment
Prices are shown in the currency displayed at checkout. The applicable price is the price displayed immediately before order confirmation, subject to correction of an obvious error. Taxes and charges are displayed where applicable.
Payment is made through the methods made available at checkout. Payment information is processed by the relevant payment provider. MaditSpirit does not normally receive or store complete payment-card credentials.
A payment failure may result in retry attempts, restricted access, suspension or cancellation according to the applicable Plan and payment-provider rules. The customer remains responsible for amounts validly due.
7. Recurring billing and renewals
7.1 Standard recurring subscriptions
A Standard subscription renews according to the billing frequency and renewal terms shown at checkout. Cancellation normally prevents future renewals while access continues through the period already paid, subject to the order and applicable law.
7.2 Flexible Progressive subscriptions
A flexible Progressive duration renews every applicable billing period until cancelled. Cancellation through Manage Billing normally prevents future renewals while access continues through the period already paid.
7.3 Committed Progressive Plans
A committed Progressive Plan is billed according to the contractual schedule for the selected duration. The current default commitment-end rule is STOP BILLING. When the contractual end is reached and the schedule is completed, future billing stops unless another valid transition has been agreed or selected under the applicable service.
8. Progressive early termination
A customer with an active committed Progressive Plan may initiate cancellation electronically through Manage Billing. The request is linked to the relevant commitment and reviewed through the Engagement/Cancellation process. Submitting a request does not silently stop valid billing or automatically terminate the contract.
The currently configured commercial rule is 20% of the remaining committed balance, subject to a maximum equivalent to two contractual monthly payments. The applicable quote is calculated from the commitment’s payment history and configured Plan policy.
Under MaditSpirit’s contractual policy, if a customer requests cancellation of a committed Progressive Plan before 30 days of that commitment have elapsed, the commitment is considered not sufficiently satisfied for the contractual settlement charge described above, and no early-termination settlement debit is applied under this policy for that request. From the 30th elapsed contractual day onward, the early-termination settlement rule disclosed and accepted in the customer’s specific contract for that Plan may be applied. This paragraph describes MaditSpirit’s own contractual policy, not a statutory legal deadline, and remains subject to the withdrawal rights and other mandatory consumer protections described elsewhere in these Terms. Where a committed Progressive Plan grants access to several Skills or services under one Plan, this settlement is calculated once for the whole commitment, not separately for each included Skill or service.
This is a contractual commercial rule, not a statement that a fee is automatically enforceable in every circumstance. Mandatory withdrawal rights, other statutory rights, proportionality rules and unfair-terms protections prevail. MaditSpirit may waive or adjust the amount where required by law or following an authorised review.
9. Withdrawal rights
Where a consumer enters into a qualifying distance contract, the consumer generally has a 14-day withdrawal period beginning at the legally applicable time. Withdrawal is separate from ordinary cancellation and from committed-plan early termination.
The customer may exercise withdrawal using the dedicated online withdrawal function made available through the customer account, or by sending an unequivocal statement to support@maditspirit.com. The customer may also use the model form at the end of these Terms.
9.1 Immediate performance of services
If the customer expressly requests that a paid service begin before the withdrawal period ends, MaditSpirit may begin performance before that period expires.
If the customer later validly withdraws, the customer may owe the proportionate amount corresponding to the service supplied up to withdrawal where the law permits that charge. If the required express request or information was not obtained, MaditSpirit will not rely on a charge that the law does not permit.
9.2 Digital content supplied without a tangible medium
For digital content supplied immediately without a tangible medium, withdrawal may be lost only where the legal conditions are met, including prior express consent to immediate supply and acknowledgement of the resulting loss of the withdrawal right. Acceptance of general Terms alone is not intended to replace a legally required express consent or acknowledgement.
9.3 Withdrawal refunds
Where withdrawal is validly exercised and a refund is legally required, MaditSpirit will reimburse payments received within the statutory period using the original payment method unless another method is agreed. A lawful proportional charge for service supplied after an express request may be deducted.
10. Other refunds and payment corrections
A refund may also be considered for a duplicated payment, technical billing error, payment collected without contractual basis, a refund required by law or a discretionary commercial refund.
A discretionary refund is not an admission that a statutory withdrawal or termination right exists. Requests should include the order number, email address, payment date, amount and reason.
11. Access and delivery
Online access is normally activated after payment confirmation. Digital content may be made available immediately through the account, dashboard, protected area or download link. Access is personal and non-transferable.
Access depends on continued payment, an active subscription, a valid Engagement and compliance with these Terms. For a committed Plan, access during the contractual period is governed by the order and payment status. When the commitment ends and STOP BILLING has executed, access may end according to the Plan.
Paid Skills operate within, and require, access to the MaditSpirit AI Coach service environment. Where a customer holds more than one active, eligible Plan that could provide this access, MaditSpirit may ask the customer to select one as a main Plan for account organization; this selection alone does not change the price, billing cadence, commitment or terms of any Plan, selected or not.
If a customer’s committed Plan ends and no other Plan currently provides this access, but the customer still holds one or more paid Skills, MaditSpirit may offer a My AI Coach-inclusive continuation Plan, with its commercial terms shown before checkout. If the customer does not choose to continue, no already-paid access is interrupted: each affected Skill remains usable, with My AI Coach access, through its own paid-through date, future renewal of that Skill stops at the applicable period end, and – once the customer’s last paid period ends – the account continues on the applicable free plan.
12. Add-ons
An add-on may be a one-time product, recurring product, Offer, Plan or other purchasable item. Its real price and billing semantics are determined by the selected source and checkout. An independent add-on may be managed separately; an add-on expressly included in a main commitment may be included in the relevant commercial snapshot according to checkout.
13. Discount codes
MaditSpirit may offer Standard Discount Codes and Progressive Discount Codes. A code is valid only if it is entered before the order is completed, has not expired or reached its usage limit, and the customer, Plan and duration satisfy its scope.
A discount may apply to the first payment, selected payments or the applicable commitment according to the code. A completed order’s discount and schedule are not changed by later editing or ending the code.
14. Customer cancellation and termination
Flexible recurring subscriptions may be cancelled through the applicable online Manage Billing function. For committed Progressive Plans, the electronic request is reviewed through the Engagement/Cancellation process. The customer receives the request status, applicable quote and outcome.
15. Failed payment and service changes
If payment fails, MaditSpirit or its payment provider may retry collection and notify the customer. Access may be restricted or suspended while an amount remains unpaid, subject to mandatory law.
MaditSpirit may improve or modify features provided that the essential nature of an ongoing paid service is not materially reduced without appropriate notice and rights. Prices for future orders may change. Changes affecting existing recurring customers will be handled in accordance with applicable law and required notice.
16. Consumer mediation and applicable law
8.3 Consumer Mediation
In accordance with Article L.612-1 of the French Consumer Code, consumers have the right to seek free and independent mediation in the event of an unresolved dispute.
Where legally required, MaditSpirit will direct the customer to an appropriate consumer mediation body upon request.
Before seeking mediation, the customer must first submit a written complaint to MaditSpirit and allow a reasonable period for amicable resolution.
These Terms are governed by French law, subject to mandatory consumer-protection rules applicable in the customer’s country of residence. MaditSpirit is intended for English-speaking countries and territories where the service and checkout are made available.

18. Satisfaction guarantee
Where MaditSpirit’s currently configured commercial policy offers a satisfaction guarantee, its length depends on how the customer’s subscription started: (a) for a first payment covering a normal 30-day billing period under a Standard Plan or a standard-cadence Progressive Plan, the guarantee period is 30 days from that first payment; (b) for a subscription started through a Trial / Essai offer, the guarantee period is 20 days from the Trial payment date. Where displayed, the applicable guarantee period is also shown on the relevant Offer or checkout page. This guarantee reflects MaditSpirit’s own current commercial policy for the payment it covers; it does not add any additional fee, penalty or exit cost, and it does not replace or extend the statutory withdrawal rights described in Section 9.
19. Trial / Essai Offers
A Trial / Essai offer lets the customer pay the Trial price shown at checkout for the Trial duration shown at checkout. During the Trial, the customer may cancel at any time before the Trial ends using the applicable online Manage Billing function, which prevents the post-Trial offer described below from starting.
If the Trial is not cancelled before it ends, the post-Trial offer configured for that Trial automatically takes over at the price, billing cadence and terms shown at checkout for that offer. Two post-Trial routes exist: a Standard route, governed by Section 2 of these Terms, or a Commitment route under a Progressive Pricing Plan, governed by Sections 3, 7.3 and 8 of these Terms. The Commitment route – including its committed duration, price and cadence – applies only where the customer expressly selected it and accepted its specific terms at checkout; where the customer does not select it, no commitment applies and the Standard route governs the post-Trial subscription.
